01Agreement to Terms

These Terms constitute a legally binding agreement between you and Studio 1414 LLC. If you are entering into these Terms on behalf of a company or other legal entity (for example, a café, restaurant, retailer, or distributor), you represent that you have authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, do not use the Site or place an order.

02Eligibility

You must be at least 18 years of age and able to form a legally binding contract to use the Site or purchase our products and services. By using the Site, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

03Accounts

You may need to create an account to make certain purchases or access certain Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use. We may suspend or terminate accounts that contain false information or are used in violation of these Terms.

04Orders

All orders are offers to purchase and are subject to our acceptance. We may accept or decline any order, in whole or in part, at our discretion, including where there is a product or pricing error, suspected fraud, or insufficient stock. An order is accepted when we send an order confirmation or ship the products. Orders may be placed through Shopify, Stripe payment links, or by invoice, ACH transfer, or wire transfer, as applicable.

Wholesale, distributor, and consulting orders may be subject to separate written agreements, minimum order quantities, or credit terms, which will control in the event of any conflict with these Terms.

05Pricing

All prices are stated in U.S. dollars (USD) unless otherwise specified and are exclusive of applicable taxes, duties, and shipping charges unless stated otherwise. We may change prices at any time before an order is accepted. In the event of an obvious pricing error, we reserve the right to cancel the affected order even if it has been confirmed, and to refund any amount charged. You are responsible for all applicable sales, use, and similar taxes.

06Payment Methods

We accept the following payment methods, as offered at checkout or on your invoice:

• Credit and debit cards and other digital payment methods processed through Stripe and/or Shopify;
• Stripe payment links;
• ACH transfer;
• Wire transfer; and
• Invoice (for approved business accounts, subject to agreed payment terms).

You represent that you are authorized to use the payment method you provide and authorize us and our processors to charge the full order amount, including taxes and shipping.

07Payment Processing

Card and bank payments are processed by third-party payment processors, including Stripe and Shopify Payments. By submitting payment, you also agree to the applicable processor's terms and privacy policy. We do not store full payment card numbers on our own servers. For ACH and wire transfers, orders are typically processed once funds have cleared. You are responsible for any bank or intermediary fees associated with ACH or wire payments unless otherwise agreed in writing.

08Product Availability

All products are subject to availability. Because our inventory depends on importation from manufacturers in Japan, stock levels, harvest cycles, and lead times may vary. We may limit quantities, discontinue products, or substitute comparable items with your consent. We do not warrant that any product will be available at any particular time.

09Shipping

Products are shipped from within the United States after importation. Estimated delivery times are provided for convenience and are not guaranteed. Shipping charges, methods, and any handling requirements (including for temperature-sensitive food products) will be shown at checkout or on your invoice. You are responsible for providing accurate shipping information; we are not liable for delays or non-delivery resulting from incorrect addresses or carrier delays outside our control.

10Risk of Loss & Title

Title and risk of loss for products pass to you upon our delivery of the products to the carrier. Claims for products damaged in transit are handled as described in our Refund Policy. For wholesale shipments, delivery terms may be further specified in a separate written agreement or on the invoice.

11Returns & Refunds

Because we sell perishable and consumable food products, returns and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Please review it carefully before purchasing.

12Intellectual Property

The Site and all content on it — including text, graphics, logos, images, product descriptions, and the "Studio 1414" name and marks — are owned by or licensed to Studio 1414 LLC and are protected by U.S. and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content without our prior written permission. Nothing in these Terms grants you any right to use our trademarks without our consent.

13User Conduct

You agree not to use the Site or Services to:

• Violate any applicable law or regulation, including food-safety, import, or export laws;
• Infringe the rights of others or submit false, misleading, or fraudulent information;
• Interfere with or disrupt the Site, or attempt to gain unauthorized access to any systems;
• Resell or distribute products in a manner that violates applicable law or any separate agreement with us;
• Introduce malware or engage in any activity that harms Studio 1414 or its users.

14Account Termination

We may suspend or terminate your access to the Site or your account, and may refuse or cancel orders, at any time and for any reason, including violation of these Terms, suspected fraud, or non-payment. Upon termination, provisions that by their nature should survive — including intellectual property, disclaimers, limitations of liability, and dispute resolution — will continue to apply.

15Warranty Disclaimer

We warrant that food products will be handled and shipped in accordance with applicable U.S. food-safety requirements. You are responsible for reviewing product descriptions, ingredients, and allergen information before consuming or reselling any product, and for storing products properly upon receipt.

16Limitation of Liability

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

17Indemnification

You agree to indemnify and hold harmless Studio 1414 LLC and its owners, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of any law, or your misuse or resale of the products.

18Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, labor disputes, supplier or carrier failures, customs or governmental actions, import restrictions, or interruptions in transportation or utilities.

19Governing Law

These Terms and any dispute arising out of or relating to them or your use of the Site, products, or Services are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-laws principles. Subject to Section 20, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction, and you consent to venue there.

20Dispute Resolution

Before initiating any formal proceeding, you agree to first contact us and attempt in good faith to resolve any dispute informally. If we cannot resolve a dispute within sixty (60) days, the dispute may be submitted to binding arbitration or to the courts identified in Section 19, as permitted by law.

21Changes to These Terms

We may modify these Terms at any time. The "Last updated" date above indicates the most recent revision. Changes are effective when posted. Your continued use of the Site or placement of orders after changes take effect constitutes acceptance of the revised Terms.
